Deep Checks Terms of Use
Last updated: Oct 22, 2026
These Terms of Use ("Terms") are an agreement between you and Deep Checks VC LLC ("Deep Checks," "we," "us," or "our"). They govern your use of deepchecks.vc and every service offered through it, including deck submissions, the Join a Startup job board, the scout program, the investor member area, our guides, and our events (together, the "Service").
By using the Service, submitting anything through it, or checking a box or clicking a button that references these Terms, you agree to them and to our Privacy Policy. If you use the Service on behalf of a company or fund, you agree to these Terms for that organization and confirm you have authority to bind it, and "you" includes that organization. If you don't agree, don't use the Service.
Section 19 requires you to bring claims individually, in Wyoming courts, without a jury, and within one year. Please read it.
1. The Service
Deep Checks reviews pitch materials from early-stage deeptech companies and forwards selected companies to a network of participating investors. We also match job seekers with startups, work with scouts who refer companies, and publish educational content. The Service is free. We take no equity and charge no fees to founders, job seekers, or scouts.
We decide, in our sole discretion, which submissions to review in depth, write up, or forward, and to which investors. We may change, suspend, or discontinue any part of the Service at any time without notice or liability.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are located in, or are a resident or national of, a country or region subject to comprehensive U.S. sanctions, or if you appear on a U.S. government restricted-party list.
If you create an account, you must give accurate information, keep your login credentials confidential, and not share your account. You're responsible for all activity under your account. Tell us right away at [email protected] if you suspect unauthorized use.
3. Founder submissions
You keep ownership. You own the materials you submit, including decks, memos, videos, and links (your "Submission").
License to us. You grant Deep Checks a worldwide, non-exclusive, royalty-free, sublicensable license to store, copy, review, excerpt, summarize, adapt, and share your Submission with participating investors, our affiliates, and our service providers, to operate and promote the Service as described in these Terms and our Privacy Policy. You can ask us to stop sharing your Submission at any time by emailing [email protected]. After that, the license continues only for copies already shared and records we keep.
Our write-ups. Deep Checks owns the summaries, one-pagers, rankings, evaluations, and other materials we create about your company ("Write-ups"), though not the underlying Submission. We aren't required to share Write-ups or any feedback with you.
Consent to share. By submitting and indicating your consent, you authorize us to share your Submission and Write-ups with any participating investor we choose, including investors we are evaluating for the network.
Your promises. You represent and warrant that:
- You have authority to submit on behalf of the company
- Your Submission is accurate and not misleading, and you'll tell us if it becomes materially inaccurate
- You have all rights needed to submit and share it, and sharing it won't violate any law, third-party right, or confidentiality obligation
- You alone are responsible for your company's fundraising, including complying with securities laws in any offering you make
No obligation. We may decline, deprioritize, or remove any Submission for any reason or no reason. We don't promise any particular level of review, timing, or outcome.
4. Confidentiality
Neither Deep Checks nor any investor signs a non-disclosure agreement with you through the Service, and we owe you no duty of confidentiality beyond what this section says. We ask participating investors to treat Submissions as confidential. That request is between us and them; it creates no obligation to you, and you are not a third-party beneficiary of it. We are not responsible for any use or disclosure of your Submission by investors or anyone else who receives it.
Only submit information you're comfortable sharing with investors who are not under an NDA with you. Don't submit trade secrets or other information whose disclosure would harm you.
Deep Checks, Julian Capital, our affiliates, and participating investors see many companies. They may already be building, evaluating, or investing in businesses that are similar to or compete with yours, and they may do so in the future. Nothing in these Terms restricts them from doing so, and they have no liability to you for it.
5. No investment advice; not a broker-dealer
What we are not. Deep Checks is not a registered broker-dealer, investment adviser, funding portal, placement agent, or crowdfunding platform. We don't offer, sell, or solicit the purchase of securities, and we aren't a party to any investment between a company and an investor.
No transaction-based compensation. We receive no commission, fee, equity, or other compensation from founders or investors based on whether, how much, or on what terms a company raises money. Any investment by Julian Capital or our affiliates is made for its own account, on its own terms, like any other investor.
What we don't do. We don't negotiate terms on anyone's behalf, structure deals, handle funds or securities, or take part in closing an investment. Founders and investors decide independently whether to talk and whether to invest.
No advice or recommendation. Nothing on the Service is an offer to sell or a solicitation to buy any security, or a recommendation to invest in any company. That includes Write-ups, rankings, "top company" recognitions, and guides. Nothing on the Service is investment, legal, tax, accounting, or financial advice. We don't verify what founders submit. Anyone considering an investment must do their own diligence and consult their own advisers.
No guarantees. We don't guarantee investor interest, meetings, funding, valuations, interviews, or jobs.
Conflicts of interest. Deep Checks is affiliated with Julian Capital. Julian Capital, our other affiliates, and our personnel may see Submissions before other investors, may invest in companies that submit or in their competitors, and benefit from the deal flow the Service creates. Participating investors benefit in the same way. You acknowledge and accept these conflicts. We owe no fiduciary duty to any founder, investor, job seeker, or scout.
6. Join a Startup job board
The job board is free. When you submit a profile, you authorize us to share it with startups we think may be a fit, and startups may contact you directly. We may limit how often you can resubmit.
We are not an employment agency, recruiter, staffing firm, or employer, and we don't act on behalf of any startup or job seeker. We don't verify startups, job seekers, or job opportunities, and we don't guarantee matches, interviews, offers, or employment. Startups are solely responsible for their hiring decisions and for complying with employment laws.
7. Scout program
Scouts refer founders to us voluntarily. As a scout, you are an independent party and not an employee, agent, partner, or representative of Deep Checks or Julian Capital. You have no authority to bind us or speak for us. You may not tell anyone that you work for us or that we or any investor will review, fund, or favor a company.
Only refer a founder with their permission, and only share information you have the right to share. We may decline any referral, and we aren't obligated to tell you how a referral turns out.
Scouts receive no compensation unless a separate written agreement signed by Deep Checks says otherwise. Keep confidential any non-public information we share with you about companies or the Service.
8. Investor members
Membership. We admit investor members at our discretion and may remove any member at any time. You represent that you are an investment professional or accredited investor acting for yourself or your firm, and that you'll comply with all laws that apply to your investing.
Use of materials. You may use Submissions, Write-ups, and other member materials only to evaluate a potential investment by you or your firm. You must:
- Keep them confidential, and share them only with people at your firm who need them for that evaluation and who are bound to keep them confidential
- Not post, publish, sell, or redistribute them
- Not scrape, bulk download, or build a database from them
- Not use founders' contact information for anything other than discussing a potential investment
You are responsible for anyone at your firm who accesses materials through your account.
Your own diligence. We make no representation about any company, and Write-ups are our opinions. You are solely responsible for your investment decisions.
Reporting. You agree to respond to our reasonable requests about whether you contacted, met with, or invested in companies introduced through the Service.
9. Publicity
Founders. You grant us the right to publicly identify your company as having submitted to, been featured by, been recognized by, or raised money through the Service. We may use your company's name, logo, public description, and reported outcomes, such as amounts raised from investors you met through Deep Checks, on our site, in social posts, and in other marketing. You can opt out at any time by emailing [email protected]; we'll stop new uses within a reasonable time.
Testimonials. If you give us a testimonial or public post about the Service, we may publish it with your name, title, company, and the photo on your public profile.
Investors. While you're a member, we may list your name, title, firm, logo, photo, bio, and portfolio companies on the site and in marketing. After you leave, we may keep historical references, such as investments made through the Service.
10. Prohibited content and conduct
Don't submit:
- Classified information
- Technical data or technology controlled under the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or similar laws, unless it may lawfully be shared with foreign persons without a license
- Trade secrets or confidential information that belongs to someone else
- Personal information about others that you don't have the right to share
- Malware or anything unlawful, infringing, or deceptive
Pitch materials should be the kind you would show a prospective investor without an NDA. You alone are responsible for complying with export control and sanctions laws for anything you submit.
Don't:
- Give false information or impersonate anyone
- Access the Service, accounts, or materials without authorization, or circumvent any security or access control
- Scrape, crawl, or bulk download the Service, or use it to build a competing service or database
- Reverse engineer, overload, or interfere with the Service
- Use the Service, or contact information obtained through it, to spam, harass, or solicit anyone for unrelated purposes
- Resell or share access to the Service
- Violate any law or anyone's rights
11. Our intellectual property and feedback
The Service and everything on it, including Write-ups, rankings, guides, design, text, graphics, and the Deep Checks name and logo, are owned by Deep Checks or its licensors. We give you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose under these Terms. We reserve all other rights.
If you send us ideas, suggestions, or feedback, we may use them for any purpose without obligation or payment to you.
12. Third-party services
The Service links to and relies on services we don't control, such as Airtable forms, LinkedIn, YouTube, and investor and startup websites. We aren't responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.
13. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice to our designated agent at Deep Checks VC LLC, Attn: Copyright Agent, 30 N Gould St, STE R, Sheridan, WY 82801, USA, or [email protected]. Your notice must include:
- Your physical or electronic signature
- Identification of the copyrighted work
- Identification of the allegedly infringing material and where it is on the Service
- Your contact information
- A statement that you believe in good faith the use isn't authorized by the owner, its agent, or the law
- A statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner
We may remove material and terminate the accounts of repeat infringers.
14. Disclaimers
In these Terms, "Deep Checks Parties" means Deep Checks, Julian Capital, our other affiliates, and each of their owners, members, managers, partners, officers, employees, contractors, and agents.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEEP CHECKS PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT, SUBMISSION, WRITE-UP, OR INFORMATION FROM ANY USER IS ACCURATE OR RELIABLE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY FOUNDER, INVESTOR, STARTUP, JOB SEEKER, SCOUT, OR OTHER USER, ONLINE OR OFFLINE.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEEP CHECKS PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, FUNDING, VALUATION, BUSINESS OPPORTUNITY, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
BECAUSE THE SERVICE IS FREE, THE DEEP CHECKS PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED $100.
These limits apply to every theory of liability, including contract, tort (including negligence), strict liability, and statute, and even if a remedy fails of its essential purpose. They are an essential basis of our agreement. Some jurisdictions don't allow certain limitations, so some may not apply to you.
16. Indemnification
You will defend, indemnify, and hold harmless the Deep Checks Parties from all claims, losses, liabilities, damages, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use of the Service
- Your Submission, profile, referrals, or other content
- Your breach of these Terms
- Your violation of any law or third-party right, including securities, export control, and sanctions laws
- Your dealings with any other user
We may control the defense of any matter, and you will cooperate with us. You may not settle any matter that affects a Deep Checks Party without our written consent.
17. Release
Your dealings with investors, founders, startups, job seekers, and scouts are solely between you and them. You release the Deep Checks Parties from all claims, known and unknown, arising from or related to those dealings, including disputes over investments, employment, confidentiality, or any third party's use of your materials.
If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law in any other jurisdiction.
18. Termination
We may suspend or terminate your access to all or part of the Service at any time, for any reason or no reason, with or without notice. You may stop using the Service at any time. Sections 3 through 5 and 8 through 21, and any other terms that by their nature should survive, survive termination.
19. Governing law and disputes
Governing law. These Terms and any dispute arising from or related to them or the Service are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules.
Venue. Any claim must be brought exclusively in the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming. You consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum. We may seek injunctive or other equitable relief in any court of competent jurisdiction.
Class action waiver. You may bring claims only in your individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative action.
Jury waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DEEP CHECKS WAIVE ANY RIGHT TO A JURY TRIAL.
Time limit. Any claim arising from or related to these Terms or the Service must be filed within one year after it arises, or it is permanently barred.
Attorneys' fees. If we prevail in any action arising from or related to these Terms or the Service, we are entitled to recover our reasonable attorneys' fees and costs.
20. Changes to these Terms
We may change these Terms at any time by posting the updated version here with a new "Last updated" date. For material changes, we'll make reasonable efforts to notify existing users by email or a notice on the site, and those changes take effect for existing users 7 days after we post them. Your continued use of the Service after changes take effect means you accept them. Disputes that arose before a change are governed by the Terms in effect when they arose.
21. General
- Entire agreement. These Terms, our Privacy Policy, and any separate written agreement you sign with us (such as a scout agreement) are the entire agreement between you and us about the Service. If a separate signed agreement conflicts with these Terms, it controls.
- Assignment. We may assign these Terms without your consent. You may not assign them without our prior written consent.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible, and the rest of these Terms stay in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Force majeure. We aren't liable for any delay or failure caused by events beyond our reasonable control.
- Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
- Third-party beneficiaries. The Deep Checks Parties are third-party beneficiaries of Sections 14 through 17. There are no other third-party beneficiaries.
- Electronic communications. You agree to receive notices and other communications from us electronically, and that they satisfy any legal requirement that they be in writing.
- Notices. We may send you notices by email or on the site. Send notices to us at [email protected] and the mailing address below.
- Interpretation. Headings are for convenience only. "Including" means "including without limitation."
